Terms of Service

These terms govern your use of varvedata.com and of the data products Varve Data sells there: Varve Fundamentals, Varve Events and Varve Corporate Actions (the "Data"). "Varve Data", "we" and "us" mean the operator of varvedata.com, based in Illinois, USA. By using the site or buying a plan you agree to these terms.

1. The Data

The Data is compiled from public filings on the U.S. Securities and Exchange Commission's EDGAR system. We clean, structure, correct, link and document it, as described in our methodology guide, which also publishes measured error rates. Filings themselves can contain errors, and our processing cannot catch all of them.

2. Your license

When you buy a plan, we grant you a non-exclusive, non-transferable license to use the Data for your own research, analysis and products. If you buy on behalf of an organization, its employees may use the Data for that organization's internal purposes. You may:

• analyze the Data, build models, backtests, screens and internal tools with it;
• publish your own research, charts, findings and products derived from it, including small excerpts.

You may not:

• resell, redistribute, sublicense or publicly post the Data, or substantial extracts of it, in raw or lightly transformed form;
• offer the Data, or a product that substantially reproduces it, through a competing dataset, feed or API;
• share your personal download link outside your organization.

Underlying SEC filings are public; nothing here restricts you from obtaining and using them directly. This license covers our compilation, structure, corrections and enhancements.

3. Free sample and website content

The free sample and the data shown on the website may be used under the same terms. Attribution ("Source: Varve Data") is appreciated when you publish results.

4. Purchases and subscriptions

• Payments are processed by Stripe. Prices are in U.S. dollars; applicable taxes may be added at checkout.
• Subscriptions renew automatically each month or year until you cancel. You can cancel anytime from Manage subscription on your account page; access continues until the end of the paid period.
• A one-time purchase includes the release current at the time of purchase. Subscriptions include every release published while the subscription is active.
• Refunds are covered by our Refund & Cancellation Policy.

5. Access links

Your downloads are available at a personal link shown after checkout. Keep it private. We may revoke a link that is shared publicly or used in breach of these terms. Download links expire after 24 hours; your account page issues fresh ones.

6. Changes to the Data and the site

We improve the Data over time and may add, rename or retire fields and tables; changes are recorded in each release. We aim to keep the site and downloads available but do not guarantee uninterrupted access.

7. No investment advice

The Data and everything on the site are provided for information and research only. Nothing we publish is investment, financial, legal or tax advice, or a recommendation to buy or sell any security.

8. Disclaimer of warranties

The Data is provided "as is" and "as available", without warranties of any kind, express or implied, including accuracy, completeness, timeliness, merchantability or fitness for a particular purpose. Verify anything important against the source filing; every row identifies it.

9. Limitation of liability

To the fullest extent permitted by law, Varve Data is not liable for any indirect, incidental, special, consequential or punitive damages, or for trading or investment losses, arising from your use of the Data or the site. Our total liability for any claim is limited to the amount you paid us in the 12 months before the claim.

10. Termination

We may suspend or end access if you breach these terms. Sections 2 (restrictions), 7, 8, 9 and 11 survive termination.

11. Governing law

These terms are governed by the laws of the State of Illinois, USA, without regard to conflict-of-law rules. Nothing here limits rights you have under consumer-protection laws that apply to you.

12. Changes to these terms

We may update these terms; the effective date above will change and, for material changes, we will notify active subscribers by email. Continued use after a change means you accept it.
